Led by Partner Michael Watts, HCF maintain a dedicated professional and support team, all of whom are full time delivering robust, well sourced advice to owner managed businesses and the SME market alike.
He has been awarded the designatory letters CF to the Corporate Finance Faculty of the Institute of Chartered Accountant in England and Wales, in recognition of their experience and past deal record.
Recognising that the CF qualification is becoming the benchmark for excellence in this highly specialised field other members of the team are actively encouraged to include the CF qualification in their study programme.
Our client base is almost exclusively privately owned businesses introduced to HCF from our wide network of clients, banking and legal contacts or from our portfolio of audit and tax clients which form the basis of the Haslers practice.
At HCF we will handle all matters associated with corporate finance, including:
- Mergers and acquisitions (M & A)
- Company business sales (full or partial)
- Management buy-ins and buy-outs
- Financial due diligence investigations
- Refinancing and restructuring
- Fund raising for debt or equity
Examples of just a few of the deals that we have successfully completed can be seen in the table below, albeit this is just a snapshot of our continuing activity which reflects the 10 cases that we are handling within the team at any one time. HCF operates so as to ensure that clients are given the very best of service with access to our extensive knowledge and experience.
All cases are reviewed every week to ensure that each member of the team, including support staff, know the status of each case and can make a positive contribution, regardless as to whether they are personally involved directly on the particular case being discussed. This allows us to tap into the enormous reservoir of knowledge of potential purchasers, deal making approaches, experiences gained with funders and lawyers and, as a result, produce a highly efficient and polished service.
HCF's preferred approach is to act as lead adviser where our role is not only to assist the client in negotiating terms, but very often to identify the potential purchasers or funders leading to Heads of Terms being prepared prior to involvement of lawyers. We will more often than not be responsible for preparing the Confidential Information package used to invite purchasers and funders to take an interest. We then co-ordinate negotiations, due diligence and fund raising where appropriate, and the legal process, tax implications, regulatory and accounting issues, right the way through to the successful completion of the transaction.
We find it best to encourage our clients to become involved as early as possible and ideally where an M & A transaction is planned, 12 - 24 months before the target date. With this approach we have the time needed to strategically plan the transaction, groom the business, prepare the relevant Business Plan and Financial Model, identify the targets, negotiate terms and complete the financial and legal process. In our experience the most straight forward of deals will nevertheless take a minimum of 2 — 3 months to complete the legal and due diligence process and the more complicated transactions take very much longer.
